Terms of Service
Last Updated: October 1, 2026
Welcome to Deovia Group ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website https://deoviagroup.com (the "Site") and the B2B lead generation, appointment setting, and business development services (the "Services") provided by Deovia Group.
By accessing our Site or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not access the Site or use our Services.
1. Description of Services
Deovia Group provides business-to-business (B2B) lead generation, outbound sales support, appointment setting, cold calling, and sales process consulting. The specific scope, deliverables, and timelines of the Services will be outlined in a separate Service Agreement or Statement of Work (SOW) executed between you and Deovia Group.
2. Client Responsibilities
To ensure the successful delivery of our Services, you agree to:
- Accurate Information: Provide accurate, up-to-date, and complete information regarding your Ideal Customer Profile (ICP), target markets, and product/service offerings.
- Access and Tools: Provide necessary access to your CRM, email domains, and other tools required to execute campaigns, as agreed upon in the SOW.
- Compliance: Ensure that your products, services, and marketing materials comply with all applicable laws and regulations (e.g., CAN-SPAM, GDPR, CCPA, TCPA).
- Timely Feedback: Review campaign performance reports and provide timely feedback to allow us to optimize outreach strategies.
3. Intellectual Property Rights
3.1 Client Ownership
You retain all ownership rights to your company name, logos, trademarks, proprietary data, and any specific custom copy or assets created exclusively for your brand under a paid Service Agreement.
3.2 Deovia Group Ownership
Deovia Group retains all rights to its proprietary methodologies, outreach frameworks, lead scoring models, software configurations, and pre-existing templates used to deliver the Services. You are granted a limited, non-exclusive license to use the final deliverables solely for your internal business operations.
4. Payment and Billing
Unless otherwise specified in a separate Service Agreement, all fees are non-refundable once Services have commenced. Invoices are due upon receipt or within the net terms specified in your contract. Late payments may incur a fee of 1.5% per month or the maximum allowed by law, whichever is less. We reserve the right to pause Services for accounts with overdue balances.
5. Performance and Limitation of Liability
5.1 No Guaranteed Results
While Deovia Group employs proven strategies and dedicated resources to generate high-quality leads and appointments, we do not guarantee specific revenue outcomes, conversion rates, or a guaranteed number of closed deals. B2B sales outcomes depend on various factors outside our control, including your sales team's closing ability and market conditions.
5.2 Limitation of Liability
To the maximum extent permitted by law, Deovia Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with these Terms or the use of our Services. Our total liability shall not exceed the total amount paid by you to Deovia Group in the three (3) months preceding the claim.
6. Indemnification
You agree to indemnify, defend, and hold harmless Deovia Group, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any third-party right, including intellectual property or privacy rights; or (c) any claims that your products or services caused damage to a third party.
7. Data Protection and Privacy
We take data privacy seriously. Our collection, use, and protection of your personal and business information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to such processing and you warrant that all data provided by you is accurate.
8. Termination
Either party may terminate a Service Agreement in accordance with the notice period specified in the SOW (typically 30 days). Upon termination, you will be responsible for paying for all Services rendered up to the effective date of termination. Sections regarding Intellectual Property, Limitation of Liability, Indemnification, and Governing Law will survive termination.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our Services shall be resolved through good faith negotiations. If a resolution cannot be reached, disputes will be submitted to binding arbitration in Indianapolis, Indiana, or the appropriate state or federal courts located therein.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of the Site or Services after any such changes constitutes your acceptance of the new Terms.
